1.1. All deliveries, services and quotations provided by Yukatel GmbH (in the following named „M2M-Allnet“)are effected solely on the basis of the General Terms and Conditions. The General Terms and Conditions are an integral part of all contracts entered into by M2M-Allnet. Companies or organizations that use M2M-Allnet services such as “customer”. Their subscription terms as “the Agreement”. They are valid for all future deliveries, services and quotations provided by M2M-Allnet to the customer regardless of whether or not any other terms and conditions were agreed upon.
1.2. Information about subscribers is treated confidentially and used only for administrative purposes.
1.3. The customer must have a CVR/VAT number.
1.4. This Agreement may not be transferred to third parties without M2M-Allnet have approved this in advance.
1.5. M2M-Allnet have the right to change these terms in writing with 14 days notice by mail if the changes are not accepted by the customer contract may be terminated upon 30 days notice to the end of a month.
2.1. For subscription and thus M2M-Allnet services can use the customer will receive a SIM card for use in Data devices etc.

3.1. The customer is liable for losses caused by unauthorized use of SIM card. 4. Prices and payment conditions
4.1. From the moment the customer starts to use M2M-Allnet’s services, the customer is responsible for paying all amounts recorded in connection with the customer’s use of M2M-Allnet’s services. M2M-Allnet is entitled to modify the commercial contract amounts and terms. Changes to the detriment of the customer will be notified at least 30 days before the change takes effect. In such cases the customer is entitled, within 14 days after notice is given, to terminate the business agreement with written notice at least 14 days.
4.2. When activativated the subscription will be billed monthly in advance of the SIM card. Moreover, consumption of Agreement will be invoiced monthly in arrears. Terms of payment – invoice date + 7 days.
4.3. M2M-Allnet have the right to block the customer’s SIM card for non-payment after written notice has been completed either by mail or by postal mail. M2M-Allnet reserves the right to charge a reopening fee per SIM cards for non-payment fee is 20 EUR per SIM card.
5. M2M-Allnet limitation of liability
5.1. M2M-Allnet have no responsibility for damage or loss resulting from inadequate or lack of access to data services, and has no obligation to maintain the means of telecommunications networks.
5.2. M2M-Allnet is not responsible for any instances of third parties’ unauthorized interception, intrusion or unauthorized use of customer’s data services.
5.3. M2M-Allnet is never liable for indirect loss, including loss of profit loss, loss of data, loss caused by the data service could not be used as provided or other indirect loss suffered by the customer.
5.4. M2M-Allnet is not responsible for errors, crashes, necessary operational intervention or interference is caused by circumstances attributable to transmission errors, equipment, etc., owned or operated by another operator.
5.5. M2M-Alnet’s liability is limited to cover losses of up to 500 EUR per injury cases, regardless of the damage cause or nature.
5.6. M2M-Allnet’s liability under this Subscription Agreement will lapse if performance becomes impossible or made unreasonably onerous by reason of circumstances beyond M2M-Allnet’s control, such as fire, war, riots, strikes, lockouts, natural disasters, public order or the like.
M2M-Allnet warrant information on shutdown or test the telecom network etc. M2M-Allnet guarantee a service that meets the customer best by any running-down time by third parties. M2M-Allnet provide this information based on similar information from our operators. 7. Termination
7.1. Termination of agreement: Regardless of the previous Agreement may be terminated by the customer with a written notice at least 3 month to an end before the expiration of the contract period.

8. Complaints and disputes
8.1. Complaints relating to billing or subscription ratio shall be submitted in writing to Yukatel GmbH, Merianstrasse 23, 63069 Offenbach / Germany. M2M-Allnet decide the appeal within 1 month after the complaint is filed. In special cases requiring special investigations could take up to 6 months before there is a decision.
8.2. The Agreement shall be governed by and construed in accordance with the German Law.
